1. Company details
These Terms of Service apply to services provided by AZ LABS LTD, trading as AZ Product Lab. AZ LABS LTD is a private limited company registered in England and Wales under company number 17215562. The company provides business software development, information technology consultancy, data processing, cloud-based SaaS platform development, digital onboarding, business process automation, operational analytics, and specialised IT support services.
2. Acceptance of terms
By requesting, purchasing, accessing, or using our services, you agree to these Terms of Service and any written proposal, order form, service agreement, or statement of work accepted by both parties. If there is a conflict between these Terms and a signed written agreement, the signed agreement will control for that specific engagement.
3. Services
We may provide consultancy, software design, software development, SaaS configuration, data processing, technical support, training workflow implementation, analytics setup, and related professional services. Service scope, deliverables, milestones, fees, and timelines will be described in a proposal, invoice, or written agreement.
4. Client responsibilities
You are responsible for providing accurate instructions, timely feedback, lawful content, required credentials, business rules, technical access, and any information needed to complete the services. You must not provide unlawful, infringing, misleading, or harmful materials for use in any project.
5. Fees and payment
Fees are payable as stated in the relevant proposal, invoice, subscription plan, or written agreement. Unless otherwise agreed in writing, payments are due in GBP and must be paid by the due date stated on the invoice. We may pause work or access to services if payment is overdue.
6. Intellectual property
Unless otherwise agreed in writing, pre-existing tools, know-how, templates, frameworks, reusable code, methods, and internal processes remain the property of the party that owned them before the engagement. Custom deliverables created specifically for you may be assigned or licensed according to the applicable proposal or written agreement after full payment is received.
7. Confidentiality
Each party may receive confidential information from the other. Confidential information must be used only for the relevant business purpose and must be protected with reasonable care. This obligation does not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
8. Acceptable use
You must not use our services to violate any law, infringe third-party rights, distribute malware, attack systems, process personal data without a lawful basis, send unlawful communications, or interfere with the security or operation of any service.
9. Warranties and disclaimers
We will provide services with reasonable skill and care. Except as expressly stated in a written agreement, services are provided without warranties of uninterrupted availability, error-free operation, fitness for a particular purpose, or specific commercial outcomes.
10. Limitation of liability
To the fullest extent permitted by law, AZ LABS LTD will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of goodwill, or loss of data. Our total liability for a claim will not exceed the amount paid for the affected service during the three months before the claim arose, unless applicable law requires otherwise.
11. Termination
Either party may terminate an engagement according to the relevant written agreement. We may suspend or terminate services if you breach these Terms, fail to pay fees, misuse the services, or request unlawful work. Fees for completed work and committed third-party costs remain payable.
12. Governing law
These Terms are governed by the laws of England and Wales, unless a written agreement states otherwise. The courts of England and Wales will have jurisdiction, subject to any mandatory consumer protection laws that may apply.
